These Membership Terms govern participation in ASK WOLF Access, a recurring business-services membership operated by ASK WOLF LLC (“ASK WOLF,” “we,” “us,” or “our”).
By subscribing, the person or company purchasing the membership (“Member,” “Client,” “you,” or “your”) agrees to these Membership Terms, the ASK WOLF Terms and Conditions, and the ASK WOLF Privacy Policy.
ASK WOLF Access is intended for business and professional use.
By subscribing, you confirm that you are purchasing on behalf of a business, that you are authorized to bind that business, and that the billing information provided is accurate.The membership provides ongoing access to ASK WOLF’s creative, marketing, brand, growth and digital capabilities through a flexible monthly credit system.
ASK WOLF Access is not an hourly-services package, unlimited-service agreement, employment relationship or guarantee that every requested project will qualify for membership delivery.
Available membership levels include Shape, Build and Scale. The selected plan, monthly price, monthly credit allocation and active-request capacity displayed during Stripe Checkout form part of your agreement with ASK WOLF. Membership availability and acceptance remain subject to ASK WOLF’s capacity and approval.
ASK WOLF Access renews automatically each month using the payment method provided through Stripe until canceled. By completing Checkout, you authorize ASK WOLF and Stripe to charge the applicable recurring membership fee, taxes and any separately approved charges to your selected payment method.
Membership fees are charged at the beginning of each billing period and reserve access to ASK WOLF’s capacity for that period. Applicable taxes may be added where legally required.
ASK WOLF may change membership pricing or plan inclusions for future billing periods by providing reasonable advance notice. Any change will apply no earlier than the next renewal date stated in that notice.
Credits are internal, non-monetary service units used to organize and allocate ASK WOLF’s professional capacity.
Credits:
- Do not represent hours, cash or an hourly rate
- Have no monetary or redemption value
- Cannot be transferred, resold, exchanged or assigned
- May only be used for eligible services delivered by ASK WOLF
- Are issued only after successful membership payment
ASK WOLF does not bill Access requests according to time spent and is not required to provide timesheets, internal cost calculations or its credit-allocation methodology. The credits required for a request are determined using ASK WOLF’s proprietary internal framework, which may consider scope, complexity, expertise, production requirements, turnaround, technology and resources.
ASK WOLF will confirm the credit requirement before beginning a request. Once approved, that allocation will not change unless the Client changes the scope, direction, deliverables, timeline or requirements. Any additional credits must be communicated and approved before the additional work begins. ASK WOLF’s credit model, allocation methods, pricing logic and internal calculations are proprietary and confidential business information.
Credits remain available for up to 60 days from their issuance date while the membership remains active.
A Member’s available balance cannot exceed two times the monthly credit allocation of the selected plan.
When a new allocation would exceed that limit, the oldest excess credits will expire.
The oldest available credits are applied first.
Unused credits expire automatically:
- At the end of their 60-day validity period
- When the membership ends
- When an account is terminated for non-payment or material breach
Expired or unused credits are not refundable and cannot be converted into cash, discounts or future payments.
Credits already assigned to an accepted, active request may remain allocated until that approved request is completed.
Credits may be used for eligible work within ASK WOLF’s core capabilities, which may include:
- Brand and creative support
- Marketing and growth initiatives
- Website design, development and optimization
- Sales and investor materials
- Campaign and advertising creative
- Email, CRM and workflow supportUX/UI and digital product visuals
- Content and communication assets
- Strategic and execution support
These categories are illustrative and do not guarantee that every request will qualify. ASK WOLF has final discretion to determine whether a request is suitable for the membership, requires additional credits or should be handled through a separate proposal.
Substantial projects may require a separately defined scope, timeline and fee.
This may include complete website builds or rebuilds, major platform migrations, extensive custom development, complex integrations, large-scale campaigns, ongoing advertising management, major brand transformations, fractional leadership engagements or work requiring significant external production resources.
ASK WOLF will notify the Client before beginning any work that requires a separate proposal. Membership payments will not automatically be applied to separately quoted work unless ASK WOLF agrees in writing.
Requests must be submitted through the communication or project-management channel designated by ASK WOLF.
A request is considered accepted only when ASK WOLF confirms:
- That the request is eligible
- The required credit allocation
- The expected deliverables
- Any necessary inputs
- The anticipated timeline
Work is scheduled according to membership level, active-request capacity, complexity, resource availability and the order in which complete requests are received.
Timelines begin only after ASK WOLF receives all necessary copy, assets, access, instructions and approvals. Delivery dates are reasonable estimates unless ASK WOLF expressly agrees to a fixed deadline in writing.
Rush or priority requests are subject to availability and may require additional credits or fees. ASK WOLF will obtain approval before applying them.
The Client agrees to:
- Provide accurate information, instructions and feedback
- Supply necessary content, assets and platform access
- Identify an authorized decision-maker
- Review deliverables promptly
- Confirm that materials supplied to ASK WOLF may legally be used
- Maintain backups and appropriate security for the Client’s platforms
- Obtain any legal, regulatory or industry-specific approval required for published materials
The Client is responsible for final review and approval of all names, claims, statistics, pricing, legal language, disclosures and factual information before publication or use. ASK WOLF is not responsible for delays, errors or additional work caused by incomplete information, delayed feedback, conflicting instructions or unavailable platform access.
Membership fees and credits do not include third-party expenses unless expressly stated.
Software subscriptions, hosting, domains, applications, plugins, fonts, stock assets, printing, advertising spend, outside production, developers, photographers, videographers, media placement and other vendor costs remain the Client’s responsibility.
ASK WOLF will not incur a material third-party expense on the Client’s behalf without approval.
ASK WOLF is not responsible for outages, policy changes, account restrictions, data loss, security incidents or technical failures caused by third-party platforms or providers.
ASK WOLF retains ownership of all work until the applicable membership payments and separately approved expenses have been paid in full.
After full payment, the Client owns the final approved deliverables created specifically for the Client, subject to any third-party licenses and ASK WOLF’s retained rights described below.
ASK WOLF retains all rights to:
- Pre-existing materials and intellectual property
- Internal methods, systems and processes
- Strategy and creative frameworks
- The ASK WOLF Access model and credit-allocation methodology
- Templates, reusable components and libraries
- General techniques, experience and know-how
- Working files, drafts and unused concepts
- Tools, prompts, automations and internal documentation
Where ASK WOLF-owned materials are embedded in a final deliverable, the Client receives a non-exclusive, perpetual license to use those materials solely as part of that final deliverable. Editable files, raw files, source files, unused concepts and internal working documents are not included unless expressly identified as a deliverable.
Nothing in the membership grants the Client the right to copy, reproduce, publish, sell, teach, sublicense, reverse engineer or commercialize ASK WOLF’s membership structure, internal credit system, pricing methodology, workflows, frameworks or templates.
Each party agrees to protect confidential business information received from the other party and to use it only for the purpose of the engagement.
ASK WOLF may use qualified employees, contractors and professional tools to deliver the services, provided they are subject to appropriate confidentiality obligations.
Confidentiality does not apply to information that is publicly available, independently developed, already lawfully known or required to be disclosed by law.
ASK WOLF provides professional strategy, creative work and execution using its experience and professional judgment. However, ASK WOLF does not guarantee any specific financial, fundraising, marketing, advertising, conversion, sales, audience, search-ranking, investor or business result.
Results may depend on factors outside ASK WOLF’s control, including the Client’s offer, pricing, operations, product quality, market conditions, media budget, platform algorithms, internal execution and timing.
The Client may cancel the membership before the next renewal through the ASK WOLF Access Client Portal or by contacting hello@askwolf.agency.
Cancellation becomes effective at the end of the current paid billing period. The Client will retain membership access through that date. A cancellation submitted after a renewal charge has been processed applies to the following billing period.
Membership payments are non-refundable and will not be prorated, except where required by law. Cancellation does not accelerate production schedules. Requests accepted before the membership ends remain subject to the confirmed scope and delivery timeline.
Credits for a new billing period are not issued until payment succeeds.
ASK WOLF may pause new and active work while an account is overdue. Delivery timelines may be adjusted accordingly. If payment is not resolved, ASK WOLF may terminate the membership and any unused credits will expire. The Client remains responsible for approved third-party expenses and other charges incurred before suspension or termination.
ASK WOLF may suspend or terminate a membership for non-payment, abusive or unlawful conduct, repeated misuse, infringement of ASK WOLF’s intellectual property, material breach of these Terms or requests that create legal, ethical, security or reputational risk. Where reasonably possible, ASK WOLF will provide notice and an opportunity to resolve the issue.
To the fullest extent permitted by law, ASK WOLF will not be liable for indirect, incidental, special, punitive or consequential damages, including lost profits, lost revenue, lost opportunities, loss of data or loss of goodwill.
ASK WOLF’s total liability arising from the membership or related services will not exceed the total membership fees paid by the Client during the 60 days immediately preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot legally be excluded.
The Client agrees to defend and indemnify ASK WOLF against third-party claims, damages, liabilities and reasonable costs arising from:
- Materials, data or instructions supplied by the Client
- The Client’s products, services or business claims
- The Client’s unlawful or unauthorized use of a deliverableIntellectual-property infringement caused by Client-supplied materials
- The Client’s violation of applicable laws or platform rules
These Membership Terms are governed by the laws of the State of Texas. Any legal proceeding relating to the membership or services must be brought in the appropriate courts located in Travis County, Texas. Before filing a claim, each party agrees to make a good-faith attempt to resolve the matter directly.
ASK WOLF may update these Membership Terms from time to time.
Material changes affecting an active membership will be communicated in advance and will apply beginning with a future billing period. Continued use of the membership after the stated effective date constitutes acceptance of the updated Terms.
Changes will not retroactively alter the confirmed credit allocation for an already accepted request.
These Membership Terms supplement the ASK WOLF Terms and Conditions and Privacy Policy.
If there is a conflict relating specifically to ASK WOLF Access, these Membership Terms will control.
A separately signed proposal, statement of work or agreement will control only for the services expressly covered by that document.
By selecting the required acceptance checkbox and completing Stripe Checkout, the Client confirms that:
- The Client has reviewed and accepted these Membership Terms
- The Client understands that the membership renews automatically each month until canceled
- The Client authorizes recurring charges
- The person completing Checkout has authority to act for the subscribing business
- A separate signature is not required unless ASK WOLF or the Client’s procurement process requests one.
